§ 1 Scope
These General Terms and Conditions (GTC) apply to all consulting services, workshops, keynotes and other services provided by Anita Suk (hereinafter "Contractor"). Deviating terms of the client apply only if expressly acknowledged in writing.
§ 2 Contract formation
A contract is concluded by written order confirmation by email or by signing a separate service agreement. The initial consultation (30 minutes) is free of charge and non-binding and does not establish a contractual relationship.
§ 3 Scope of services
The Contractor's services include B2B marketing consulting, strategic sparring, workshops, project consulting and keynotes. The exact scope of services is defined in the respective order confirmation or service agreement. The Contractor owes a service, not a specific result.
§ 4 Fees & payment
Fees are based on the agreed proposal or service agreement. Invoices are payable within 14 days of the invoice date without deduction. In the event of late payment, interest will be charged at the statutory rate.
As a small business owner pursuant to § 19 UStG, no VAT is charged.
§ 5 Confidentiality
Both parties undertake to keep all confidential information received in the course of the collaboration confidential and not to disclose it to third parties. This obligation also applies after termination of the contractual relationship.
§ 6 Liability
The Contractor is fully liable for intent and gross negligence. In cases of minor negligence, the Contractor is only liable for breach of material contractual obligations (cardinal obligations), limited to the foreseeable, typical contractual damage. Liability for lost profits or indirect damages is excluded to the extent permitted by law.
§ 7 Termination
Ongoing consulting mandates (sparring) can be terminated by either party with 4 weeks notice to the end of the month in writing. Project-based consulting services can only be terminated early for good cause. Services already rendered must be compensated in any case.
§ 8 Copyright & usage rights
All materials, concepts and documents created in the course of the consulting remain the copyright property of the Contractor. The client receives a simple, non-transferable right of use for the agreed purpose. Disclosure to third parties requires written consent.
§ 9 Applicable law & jurisdiction
The law of the Federal Republic of Germany applies. The place of jurisdiction for all disputes arising from this contractual relationship is, to the extent permitted by law, the place of residence of the Contractor.
§ 10 Severability
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
